1. Introduction

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and LAX Scanner ("LAX", "we", "us", or "our"), governing your access to and use of the LAX Scanner platform, website (lax.sh), mobile applications, and all related services (collectively, the "Services").

By accessing, browsing, or using the Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must immediately discontinue use of the Services.

2. Definitions

• "Platform" means the LAX Scanner website, web application, and any associated tools, features, and interfaces.
• "Content" means all data, information, text, charts, graphs, scanner results, market data, and other materials displayed on or made available through the Services.
• "Scanner" means the stock screening and filtering tools provided through the Platform that allow Users to filter stocks based on pre-defined or custom technical parameters.
• "Subscription" means the paid access plan that provides enhanced features and functionality beyond the free tier.
• "Market Data" means stock prices, indices, volumes, institutional activity data, corporate filings, and other financial information displayed on the Platform.
• "Account" means the registered user account created through Google Sign-In or phone OTP verification on the Platform.

3. Eligibility

By using the Services, you represent and warrant that:

• You are at least 18 years of age and have the legal capacity to enter into a binding agreement under the Indian Contract Act, 1872.
• You are a resident of India or are accessing the Services from a jurisdiction where such access is lawful and does not violate any local laws or regulations.
• You will provide accurate, current, and complete information during registration and will keep your Account information updated.
• You are not barred or restricted from using the Services under any applicable law, regulation, or order of any court or regulatory authority, including the Securities and Exchange Board of India (SEBI).

The Content provided through the Services is for general informational and educational purposes only. Nothing on the Platform shall be construed as:

• An offer or solicitation to buy, sell, or hold any security, financial product, or investment.
• A recommendation or endorsement of any particular stock, sector, index, or trading strategy.
• Professional financial, legal, tax, or accounting advice.
• A guarantee or assurance of any investment outcome or return.

Scanner results are generated by automated algorithms that apply technical filters to publicly available market data. These results reflect mathematical conditions being met and do not indicate the suitability of any investment for any particular individual. Past performance of any stock, indicator, or scanner strategy displayed on the Platform is not indicative of future results.

You acknowledge and agree that all investment decisions are made solely by you, at your own discretion and risk, and that LAX Scanner shall not be responsible or liable for any investment decisions made or actions taken by you based on the Content available on the Platform.

7. Account Registration and Security

To access certain features of the Services, you must create an Account using Google Sign-In or phone number OTP verification. By creating an Account, you agree to:

• Provide truthful, accurate, and complete information during registration.
• Maintain the security and confidentiality of your Account credentials, including your authentication tokens.
• Immediately notify us at hi@lax.sh of any unauthorised access to or use of your Account.
• Accept full responsibility for all activities that occur under your Account, whether or not authorised by you.
• Not share, transfer, or permit any other person to access your Account.
• Not create multiple Accounts for the same individual.

We reserve the right to suspend or terminate your Account at any time, without prior notice, if we reasonably believe that you have violated these Terms or that your Account has been compromised.

8. Description of Services

LAX Scanner provides the following categories of tools and features, subject to your subscription tier:

• Stock Scanners: Automated screening tools that filter stocks listed on NSE and BSE based on technical parameters such as price action, volume, moving averages, candlestick patterns, chart patterns, and proprietary indicators.
• Market Pulse: Aggregated dashboards displaying FII/DII activity, bulk and block deals, insider trades, promoter activity, exchange filings, and sector performance data.
• Charting Tools: Interactive charts powered by TradingView for visualising stock price history and technical indicators.
• Watchlists and Portfolios: Tools for creating, managing, and sharing personal watchlists and tracking portfolio performance.
• Custom Scanners: User-configurable filters for building personalised screening criteria (available on paid plans).

The availability, scope, and functionality of the Services may vary depending on your subscription plan. We reserve the right to add, modify, or discontinue any feature of the Services at any time without prior notice or liability.

9. Subscription, Payments, and Refunds

9.1 Subscription Plans

LAX Scanner offers both free and paid subscription plans. The free plan provides limited access to selected scanners and market data. Paid plans provide access to additional features as described on our pricing page. The features included in each plan are subject to change at our discretion.

9.2 Payment Terms

• Payments for subscriptions are accepted via UPI and are processed manually by our team.
• Upon making a payment, you must submit the transaction details (transaction ID, UPI app used, and UPI number) through the Platform for verification.
• Subscription activation is subject to successful verification of payment, which may take up to 24 hours.
• All prices are denominated in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.
• We reserve the right to change subscription prices at any time. Price changes will not affect active subscriptions until renewal.

9.3 Refund Policy

• If you cancel your paid subscription before the end of the current billing period, you are eligible for a pro-rata refund for the unused portion of your subscription.
• Refund requests must be submitted by emailing hi@lax.sh with your registered email address and reason for cancellation.
• Refunds will be processed within 7–14 business days from the date of approval.
• We reserve the right to deny refund requests in cases of suspected abuse, fraud, or violation of these Terms.
• If your Account is terminated by us for violation of these Terms, you shall not be entitled to any refund.

9.4 Subscription Renewal

Subscriptions do not auto-renew. At the end of your subscription period, your access will revert to the free tier unless you manually renew by making a new payment.

10. Acceptable Use Policy

You agree NOT to:

• Use the Services for any unlawful purpose or in violation of any applicable Indian or international law or regulation.
• Use automated bots, scripts, scrapers, crawlers, or any other automated means to access, extract, or collect data from the Platform without our express written consent.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or underlying logic of any part of the Platform or its proprietary indicators.
• Reproduce, redistribute, sublicense, sell, or commercially exploit any Content, scanner results, or data obtained from the Services.
• Use the Content to create competing products or services.
• Circumvent, disable, or interfere with any security, authentication, or access control features of the Platform.
• Share your Account credentials or subscription access with others, or allow multiple individuals to use a single Account.
• Misrepresent any Content obtained from LAX Scanner as your own research, analysis, or investment advice to third parties, whether for commercial or non-commercial purposes.
• Upload, transmit, or share any malicious code, virus, or harmful content through the Platform.
• Attempt to overload, disrupt, or impair the performance of the Platform or its underlying infrastructure.
• Use the Platform to engage in market manipulation, insider trading, or any other activity prohibited under the SEBI Act, 1992, or any SEBI regulations.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your Account, without prior notice or refund, and may be reported to the relevant authorities.

11. Intellectual Property

All intellectual property rights in the Platform, including but not limited to the software, algorithms, proprietary indicators (including but not limited to NOUS and BNF indicators), scanner logic, user interface, design, graphics, trademarks, trade names, logos, and Content (excluding third-party market data) are owned by or licensed to LAX Scanner and are protected under the Copyright Act, 1957, the Trade Marks Act, 1999, the Information Technology Act, 2000, and other applicable intellectual property laws of India.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal, non-commercial purposes, subject to these Terms. This licence does not include the right to:

• Modify, adapt, translate, or create derivative works based on the Platform or any Content.
• Copy, distribute, publicly display, or perform any part of the Platform or Content.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
• Use the LAX Scanner name, logo, or branding without prior written consent.

12. Data Accuracy and Third-Party Data

The Platform displays market data sourced from stock exchanges (NSE, BSE) and other third-party data providers. While we endeavour to ensure the accuracy and timeliness of the data displayed:

• We do NOT guarantee the accuracy, completeness, timeliness, reliability, or availability of any market data, scanner results, or Content displayed on the Platform.
• Market data may be delayed, incorrect, or incomplete due to factors beyond our control, including but not limited to data feed latency, exchange outages, corporate action adjustments, or third-party data errors.
• Scanner results are generated algorithmically based on the data available at the time of computation and may differ from results obtained from other platforms or data sources.
• Historical data may be adjusted for corporate actions (splits, bonuses, dividends) and such adjustments may vary between data providers.
• We are not responsible for any errors, omissions, or discrepancies in third-party data.

You should independently verify all data, scanner results, and Content before relying on them for any purpose, including but not limited to investment decisions.

13. Third-Party Services and Links

The Services integrate with and rely upon certain third-party services, including but not limited to:

• Google Sign-In: For account authentication, subject to Google's Terms of Service and Privacy Policy.
• TradingView: For charting functionality, subject to TradingView's Terms of Use.
• Google Analytics: For anonymous usage analytics, subject to Google's Privacy Policy.

Your use of these third-party services is governed by their respective terms and policies, which are separate from these Terms. We are not responsible for the privacy practices, security, content, or functionality of any third-party service. Any issues arising from third-party services should be directed to the respective third-party provider.

The Platform may contain links to external websites, Telegram groups, or social media pages. These links are provided for convenience only and do not constitute an endorsement, sponsorship, or recommendation by LAX Scanner. We are not responsible for the content, accuracy, or practices of any external website or service.

14. Privacy and Data Collection

We collect and process certain personal information necessary for providing the Services, including:

• Account Information: Name, email address, phone number, and Google profile image (if signed in via Google).
• Payment Information: UPI transaction details, UPI app name, and transaction screenshots submitted for payment verification.
• Usage Data: Pages visited, features used, device information, and interaction patterns collected via Google Analytics.
• Device Information: Device identifiers for authentication and security purposes.
• Locally Stored Data: Certain data such as watchlists, scanner preferences, and cached results are stored locally on your device (browser localStorage) for performance purposes.

We handle your personal data in accordance with the Digital Personal Data Protection Act, 2023 ("DPDP Act") and the Information Technology Act, 2000 and the rules framed thereunder. By using the Services, you consent to the collection, use, storage, and processing of your data as described herein and for the purposes of providing and improving the Services.

We do not sell, rent, or trade your personal information to third parties. We may share anonymised and aggregated data for analytical purposes. We implement reasonable security measures to protect your personal data, but no system is completely secure, and we cannot guarantee absolute security of your data.

You may request deletion of your Account and associated personal data by emailing hi@lax.sh. We will process such requests within a reasonable timeframe, subject to our legal obligations to retain certain data.

You agree to indemnify, defend, and hold harmless LAX Scanner, its owners, operators, employees, agents, and affiliates from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of or access to the Services.
• Your violation of these Terms or any applicable law or regulation.
• Your investment decisions or trading activities, whether or not based on Content obtained from the Platform.
• Any claim that your use of the Content infringes or violates the intellectual property rights, privacy rights, or other rights of any third party.
• Your misrepresentation of any Content from the Platform as investment advice or research to any third party.
• Any dispute between you and any third party (including brokers, financial advisers, or other users) arising from your use of the Services.

This indemnification obligation shall survive the termination of these Terms and your use of the Services.

18. Termination

We reserve the right to suspend, restrict, or terminate your Account and/or access to the Services, in whole or in part, at any time and for any reason, including but not limited to:

• Violation of these Terms or the Acceptable Use Policy.
• Suspected fraudulent, abusive, or illegal activity.
• Non-payment or payment fraud.
• Extended period of inactivity.
• Request by law enforcement or government authorities.
• Discontinuation of the Services (in whole or in part).

Upon termination, your right to access and use the Services will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification obligations.

You may terminate your Account at any time by emailing hi@lax.sh. Termination of your Account does not automatically entitle you to a refund, except as provided under Section 9.3 (Refund Policy).

19. Modification of Terms

We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. When we make material changes, we will update the "Last updated" date at the top of this page. We may, but are not obligated to, notify you of significant changes via email or through a notice on the Platform.

Your continued use of the Services after any modification to these Terms constitutes your acceptance of the modified Terms. If you do not agree with the modified Terms, you must stop using the Services and terminate your Account.

It is your responsibility to review these Terms periodically to stay informed of any changes.

20. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved as follows:

• Amicable Resolution: The parties shall first attempt to resolve any dispute amicably through good-faith negotiation within 30 days of written notice of the dispute.
• Arbitration: If the dispute is not resolved through negotiation, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. The seat and venue of arbitration shall be Gurugram, Haryana, India. The language of arbitration shall be English.
• Jurisdiction: Subject to the above arbitration clause, the courts of Gurugram, Haryana, India shall have exclusive jurisdiction over any proceedings arising out of or relating to these Terms.

21. Force Majeure

LAX Scanner shall not be liable for any failure or delay in performance of its obligations under these Terms arising out of or caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, exchange outages, internet service disruptions, power failures, cyber-attacks, or any other force majeure event. During such events, LAX Scanner's obligations shall be suspended for the duration of the event.

22. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

23. Waiver

No failure or delay by LAX Scanner in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof. No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise thereof or the exercise of any other right, power, or remedy. A waiver of any right or provision of these Terms shall only be effective if made in writing and signed by an authorised representative of LAX Scanner.

24. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published on the Platform, constitute the entire agreement between you and LAX Scanner regarding your use of the Services and supersede all prior and contemporaneous agreements, representations, and understandings, whether written or oral, relating to the subject matter hereof.

25. Compliance with Indian Laws

You agree to comply with all applicable Indian laws and regulations while using the Services, including but not limited to:

• The Securities and Exchange Board of India Act, 1992 and all SEBI regulations thereunder.
• The Securities Contracts (Regulation) Act, 1956.
• The Prevention of Money Laundering Act, 2002.
• The Information Technology Act, 2000 and the IT Rules, 2011.
• The Digital Personal Data Protection Act, 2023.
• The Indian Penal Code / Bharatiya Nyaya Sanhita, 2023 (as applicable).
• The Foreign Exchange Management Act, 1999 (FEMA) and RBI regulations, to the extent applicable.
• The Consumer Protection Act, 2019.
